Assolombarda and Andersen: workshop on the M&A process

On Tuesday 8 October, in collaboration with Assolombarda, Andersen Tax & Legal partners – Maricla Pennesi, Francesco Marconi, Andrea di Castri and Francesco Inturri – will start the workshop on the M&A process.

At the Assolombarda headquarters in Milan, our professionals will talk on a monthly basis to entrepreneurs, CFOs, Legal Counsels, and HR managers on M&A activities in an interactive and non-academic way.

The following topics will be analyzed: risks and opportunities, company valuation methods, banking finance, the differences between being a Buyer or a Vendor, the comparison between the Main Agreements and the Accessory Agreements.
During the workshop, the governance structure, the setting up of extraordinary operations in a tax perspective, the assessment of fiscal levers, the application of international accounting principles to specific contractual clauses will also be studied in depth.

The first meeting – Tuesday 8 October – will focus on the analysis of the transaction in view of the choice of the negotiation strategy.
